The M/WBED`s Director of Compliance conducts random audits of government contracts to ensure that the objectives of participation in the contract are achieved. In addition, they will address concerns arising from contractual relationships. The Department of Administration has the authority to impose sanctions on contractors in non-compliance. Extra-governmental LLPs: Senate Bill 859 made no changes to section 152.901 of the BOC, which provides for the registration of non-state LPLs. Registering a non-governmental LLP for processing transactions in Texas takes a year, but can be extended for another year before it expires. See Form 308 (Word, PDF). Texas LLPs: Effective January 1, 2016, Senate Bill amended 859 § 152.802 of the Code of Business Organization (BOC) to eliminate the annual extension requirement for Texas LLPs. The instrument of incorporation may also contain a provision allowing the board of directors and senior officers of the profit-making company to take into account any social objective indicated in the instrument of incorporation in the exercise of the functions of directors or senior officers. To determine the extent and circumstances in which an officer or director of a for-profit corporation must take into account corporate purposes, please refer to Chapter 21 of the Code, and in particular Sections 21.101 and 21.401 theref, as amended by SB 849. . .
